Spirit Airlines in Fresh Takeover Talks After Bankruptcy Filing

Spirit Airlines is in fresh talks with investment firm Castlelake over a possible takeover. The struggling carrier filed for bankruptcy last August after a failed recovery plan. A federal judge had earlier blocked its proposed merger with JetBlue on antitrust concerns.

Spirit’s financial troubles worsened in 2024 when a US judge rejected its planned acquisition by JetBlue Airways. The airline had hoped the deal would stabilize its finances, but antitrust objections derailed those plans. By August 2025, with no viable turnaround, Spirit filed for Chapter 11 bankruptcy protection.

To cut costs, the airline reduced its fleet, trimmed capacity, and laid off staff. Pilots agreed to concessions worth around $100 million to support restructuring efforts. In October 2025, Spirit confirmed it was exploring options, including a sale or merger, and was in discussions with multiple parties.

Frontier Airlines had made three separate attempts to buy Spirit—in 2022, 2024, and 2025—but shareholders rejected each offer. Renewed talks with Frontier in late 2025 also failed to produce an agreement. Now, Castlelake, a Minneapolis-based firm with $33 billion in assets under management, has entered negotiations. The investment company, which specializes in aviation finance, launched Merit AirFinance in August 2025 with $1.8 billion earmarked for lending in the sector. Talks between Spirit and Castlelake were officially announced on January 22, 2026.

The outcome of the Castlelake discussions remains uncertain. If successful, the deal could reshape Spirit’s future after months of financial strain. The airline’s pilots and employees have already made significant sacrifices to keep operations running during restructuring.
